These Terms and Conditions ("Terms") govern the access to and use of the physical retail stores, online platforms, website www.littlesapling.in, mobile interfaces, WhatsApp/phone ordering systems, and delivery services operated under the brand Little Sapling®?, which is owned and operated by Pratyaksha Agrotech Private Limited ("Company", "we", "us", "our").

These Terms constitute a legally binding agreement between the Company and any customer, user, or visitor ("Customer", "you", "your"). By visiting our store, browsing our website, placing an order, or accepting delivery, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with any part of these Terms, you must refrain from using our services.

2. Applicability & Scope

These Terms apply to:

• Walk-in purchases at physical stores
• Orders placed via website, WhatsApp, phone calls, or any digital interface
• Home delivery, doorstep delivery, and self-pickup
• One-time purchases, subscriptions, promotional offers, and bulk orders (unless governed by a separate written agreement)

The Company reserves the right to modify, suspend, or discontinue any part of its services without prior notice.

3. Eligibility & User Responsibility

• You must be at least 18 years of age and competent to contract under Indian law.
• You agree to provide accurate, complete, and current information while placing orders.
• You shall be solely responsible for maintaining the confidentiality of your contact details and delivery instructions.

Any misuse, misrepresentation, or fraudulent activity may result in suspension or permanent restriction of services.

4. Product Nature, Quality & Disclaimers

• Products sold are fresh, perishable agricultural commodities.
• Natural variations in size, weight, color, texture, aroma, and taste are inherent and shall not constitute defects.
• Images, descriptions, and prices displayed online are indicative and for reference purposes only.
• We do not warrant uninterrupted availability of any product.
• Claims such as "organic", "natural", or "residue-free" apply only where explicitly stated and supported by sourcing or certification, if any.

To the fullest extent permitted by law, all products are provided on an "as-is" and "as-available" basis.

5. Pricing, Taxes & Payment

• All prices are in Indian Rupees (INR).
• Prices are subject to change due to market volatility, seasonality, or supply constraints.
• Applicable taxes shall be charged as per prevailing laws.
• The Company reserves the right to correct pricing errors at any time.

5.1 Payment Modes

Accepted payment modes may include:

• UPI
• Debit/Credit Cards
• Net Banking
• Digital Wallets
• Cash on Delivery (COD)

Orders may be processed only after payment confirmation, except for COD orders where permitted.

5.2 Cash on Delivery (COD) Abuse Policy

• COD is a discretionary facility and not a customer right.
• Repeated refusal to accept delivery, non-payment, or unreachability shall constitute COD abuse.
• In cases of COD abuse, the Company reserves the right to:
• Disable COD permanently or temporarily
• Mandate prepaid-only orders
• Restrict or blacklist customer accounts, phone numbers, or addresses

No refunds, compensation, or claims shall arise from losses caused by COD abuse, particularly considering the perishable nature of goods.

6. Order Placement, Acceptance & Modifications

• Order placement does not guarantee acceptance.
• An order is deemed accepted only upon confirmation by the Company.
• The Company may modify quantities, substitute items of equivalent value, or cancel orders due to availability or quality issues.

Once packing has commenced, orders for perishable goods cannot be cancelled or modified.

7. Delivery, Attempt & Non-Responsiveness Policy

• Delivery timelines are indicative and not guaranteed.
• Delivery is limited to serviceable locations only.
• Customers must remain reachable on the registered phone number at the time of delivery.

If the delivery executive reaches the delivery location and the customer does not answer calls/messages or is unavailable:

• The delivery shall be deemed unsuccessful
• The Company shall bear no liability for re-delivery, refunds, or spoilage
• The order value shall stand forfeited

Repeated instances may result in permanent delivery restrictions.

Risk and title pass to the customer upon delivery attempt.

8. Returns, Refunds & Replacements

Given the nature of goods:

• Returns are not accepted
• Refunds/replacements are considered only if:
• Incorrect items are delivered, or
• Products are visibly damaged at delivery

Issues must be reported within 2 hours of delivery with photographic proof. Decisions of the Company shall be final and binding.

9. Subscriptions & Bulk Orders

• Subscriptions are subject to seasonal availability.
• The Company may alter delivery frequency or contents due to supply factors.
• Bulk or institutional orders may be governed by separate written agreements.

10. Promotions, Offers & Discounts

• Promotional offers are time-bound and subject to conditions.
• Offers cannot be clubbed unless explicitly stated.
• The Company reserves the right to withdraw or modify promotions without notice.

11. Intellectual Property Rights

All trademarks, logos, content, designs, and software on the platform, including Little Sapling®?, are the exclusive property of Pratyaksha Agrotech Private Limited.

Unauthorized use shall attract civil and criminal liability.

12. Prohibited Conduct

You agree not to:

• Abuse staff or delivery personnel
• Place fraudulent or misleading orders
• Disrupt operations or systems
• Misuse promotional benefits

Violation may lead to immediate service termination.

13. Limitation of Liability

To the maximum extent permitted by law:

• The Company shall not be liable for indirect or consequential damages
• Liability, if any, shall not exceed the order value

14. Indemnity

You agree to indemnify and hold harmless the Company, its directors, employees, and agents against any claims arising from misuse of services or breach of these Terms.

15. Force Majeure

The Company shall not be liable for failure or delay due to events beyond reasonable control including natural disasters, strikes, pandemics, governmental actions, or supply chain disruptions.

16. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. Courts at New Delhi, India shall have exclusive jurisdiction.

17. Amendments & Updates

The Company may amend these Terms at any time. Continued use after updates constitutes acceptance.
